These Terms of Service (“Terms”) govern the human resources support services, payroll support services (payroll processing performed through Paycor), and COBRA administration support services (COBRA administered through a third-party administrator) provided by RJ Blanchard Benefit Services, LLC (“RJ Blanchard,” “we,” “us,” or “our”) to the client (“Client,” “you,” or “your”).
We may provide HR-related support services that can include, as applicable: - HR guidance and administrative support - New hire and termination process support - Assistance with employee onboarding workflows and documentation - Support with benefits-related employee communications - Coordination support for required forms and documentation
Important:We are not a law firm and do not provide legal advice. HR guidance is general and should be reviewed with your legal counsel for compliance.
Payroll processing is performed through Paycor. Our payroll-related services may include: - Payroll setup support and coordination - Assistance with payroll inputs, schedules, and basic configuration - Support in coordinating payroll changes (e.g., new hires, terminations, pay updates) based on information you provide - Helping you access reports and understand standard payroll outputs
Paycor Relationship: Paycor is a third-party platform. Your use of Paycor is subject to Paycor’s own terms, policies, and service availability.
COBRA administration is handled by a third-party administrator (“COBRA Administrator”). Our services may include: - Coordination and support with COBRA setup and ongoing administration - Assistance with transmitting eligibility events and required information to the COBRA Administrator - Support with employer and employee communications related to COBRA processes
COBRA Administrator Relationship: The COBRA Administrator is a third-party vendor. Their services are subject to their own terms, timelines, and procedures.
You agree to: - Provide accurate, complete, and timely employee and payroll information (including hours, wages, deductions, and status changes) - Approve payroll and HR/COBRA submissions by stated deadlines - Maintain required records and comply with all applicable federal, state, and local laws - Review payroll registers, reports, and confirmations promptly - Notify us immediately of suspected errors, discrepancies, or unauthorized activity
You are responsible for final approval of payroll and for ensuring compliance with applicable employment, wage and hour, tax, and benefits laws.
You agree to notify RJ Blanchard of the following changes within five (5) calendar daysof the event (or effective date, if different): - New hires - Terminations - Any other status changes that may impact payroll, benefits eligibility, or COBRA rights
Late notice may result in delayed payroll updates, delayed COBRA notices, or other processing impacts. RJ Blanchard is not responsible for penalties, premium discrepancies, or compliance issues caused by late or incomplete notice.
HR support fees will be as outlined in your proposal, service agreement, or invoice. Unless otherwise stated, fees are billed monthly in advance.
Payroll-related fees may include: - RJ Blanchard service fees for payroll support/coordination - Paycor platform and processing fees billed by Paycor (if applicable)
Paycor fees are separate and may be billed directly by Paycor.
COBRA-related fees may include: - RJ Blanchard service fees for COBRA coordination/support - Third-party COBRA Administrator fees (e.g., per participant, per event, or monthly minimums)
Billing:You acknowledge and agree that RJ Blanchard bills COBRA administration fees(including third-party administrator charges and/or RJ Blanchard service fees, as applicable) as outlined in your proposal, service agreement, or invoice.
· Invoices are due upon receipt unless otherwise stated.
· Past-due balances may result in suspension of services.
· You are responsible for any bank fees, chargebacks, or collection costs incurred due to non-payment.
· Payroll and COBRA processes are time-sensitive. You must meet submission and approval deadlines.
· We are not responsible for delays caused by late or incomplete information, third-party outages, or vendor processing timelines.
· We do not guarantee that payroll or COBRA actions can be completed same-day unless explicitly confirmed in writing.
Unless expressly stated in writing: - We do not provide tax, legal, or accounting advice. - Payroll tax filings, deposits, and related compliance tasks may be handled by Paycor or other vendors depending on your setup. - You remain responsible for verifying that tax filings, deposits, and reports are accurate and timely.
· You authorize us to collect, use, and share necessary data with Paycor and the COBRA Administrator to perform services.
· You represent that you have the right to share employee data with us and our vendors.
· We will take reasonable measures to protect confidential information; however, no system can be guaranteed 100% secure.
Each party agrees to keep the other party’s non-public information confidential and to use it only for performing obligations under these Terms, except as required by law.
Paycor and the COBRA Administrator are independent third parties. We are not responsible for: - Their acts or omissions - Platform downtime, processing errors, or service interruptions - Their compliance with laws or their internal policies
We will provide services in a professional manner; however: - We do not guarantee outcomes, cost savings, tax results, or compliance determinations. - You should consult qualified legal, tax, or HR professionals for advice specific to your situation.
· These Terms begin on the Effective Date and continue until terminated.
· Either party may terminate services with written notice.
· We may suspend or terminate services immediately for non-payment, suspected fraud, or misuse of systems.
To the fullest extent permitted by law: - RJ Blanchard will not be liable for indirect, incidental, special, consequential, or punitive damages. - Our total liability for any claim related to services will not exceed the fees paid to RJ Blanchard for the services giving rise to the claim in the three (3) months preceding the event.
You agree to indemnify and hold harmless RJ Blanchard from claims, damages, liabilities, and expenses arising from: - Inaccurate or late information you provide - Your failure to comply with applicable laws - Your misuse of Paycor, the COBRA Administrator platform, or related systems
The parties agree to attempt to resolve disputes in good faith. If not resolved, disputes will be handled in a court of competent jurisdiction.
These Terms will be governed by the laws of the State of Louisiana, without regard to conflict of law principles.
We may update these Terms from time to time. Updated Terms will be effective when provided to you or posted where you access the services.
